Legal advice for childcare operators buying, selling and leasing centres — aligning transaction documents, premises and approval requirements.

Buying, selling or leasing a childcare centre

A childcare business transaction connects the business, the premises and the authority to operate the service. Buying the assets or shares does not, by itself, settle every approval, lease or subsidy requirement.

Baystone Legal advises independent operators, established groups and investors on centre acquisitions and sales, leases, management arrangements and development-related transactions. We help identify which legal workstreams need to be completed together, rather than treating the sale contract as the whole transaction.

For a first centre purchase or a portfolio change, early review of the proposed operator, approval holder and lease can expose conditions that need to be addressed before a binding commitment.

Acquisition and sale terms that reflect the operating business

We advise on asset and share sale structures, heads of agreement, legal due diligence, warranties, conditions precedent and completion documents. The review can cover approval conditions and compliance history, material contracts, employees, parent agreements, equipment ownership and security interests.

Your accountant or valuer should assess occupancy, earnings, subsidy revenue and the price. We help allocate legal risks in the contract, including responsibility for pre-completion liabilities and the consequences if a required consent or approval is not obtained.

Coordinate provider, service and subsidy approvals

For services under the National Quality Framework, the relevant state or territory regulatory authority administers provider and service approvals. ACECQA provides national guidance and the shared application system; it is not a substitute for the relevant authority’s decision.

A service approval transfer and Child Care Subsidy approval are separate processes. CCS approval cannot simply be transferred between providers. The transaction structure and identity of the operator affect the steps required, so the contract’s conditions and proposed completion date should be checked against the applicable processes.

Secure the premises and landlord consents

The lease may be as important as the business sale contract. We review the remaining term and options, permitted use, rent reviews, outgoings, maintenance, assignment and change-of-control provisions. An acquisition may require landlord consent, a new lease or changes to existing documents.

For a new centre, an agreement for lease should address construction responsibilities, handover requirements, fit-out, commencement conditions and delay risk. Planning, building and operational suitability need input from the relevant technical advisers and authorities. We coordinate the legal documents, not certify the premises.

Plan completion and the operational handover

We work through the legal completion checklist with the buyer, seller, landlord, financier and other advisers. Employee arrangements, records, parent communications, approval steps and access to premises need to be considered against the chosen structure.

For an initial discussion, provide the proposed sale terms, lease, approval details, any compliance notices and target dates. Do not assume a universal acquisition timeframe: consents, information requests and the readiness of each party can change the programme.

Frequently Asked Questions

Does buying a childcare business transfer its approvals?

Not automatically. For a service under the National Quality Framework, a transfer of service approval involves the relevant regulatory authority and an appropriately approved receiving provider. A share acquisition or change of control may raise different notification and approval issues. CCS approval is separate and cannot be transferred between providers. The required steps must be checked for the transaction structure and jurisdiction.

Who grants provider and service approvals?

The relevant state or territory regulatory authority administers approvals under the National Quality Framework. ACECQA provides national guidance and supports the shared IT system. Services outside that framework may have different requirements. Commonwealth CCS approval is a separate process under Family Assistance Law.

How long does a childcare acquisition take?

There is no reliable single timeframe. Due diligence, finance, landlord consent, provider status, service transfer procedures and CCS approval can affect completion. Statutory notification periods are not guaranteed processing times. We identify the applicable steps and help align contract conditions and dates; the parties should not commit to operating before the necessary requirements are met.

What should I check in a childcare centre lease?

Review the term and options, permitted use, rent and outgoings, assignment and change-of-control requirements, repair obligations and fit-out ownership. Check how the premises arrangements align with service approvals and any finance security. Planning, building condition and operational suitability require separate technical assessment, and applicable leasing legislation depends on the premises and jurisdiction.

Can you advise on price and financing?

We advise on the legal sale terms, finance and security documents, landlord consents and related conditions. Business value, tax treatment, debt capacity and commercial lending terms should be assessed with your accountant, valuer and financier. We do not assume a standard equity contribution or promise that finance will be approved.
